Change procedures, acceptance documents and maintenance deadlines differ by jurisdiction. The information below is for an initial review; the company’s circumstances and the latest registrar requirements govern.
01
BVI registered-agent transfer
- Service scope
- Review the registered-agent change, company records and maintenance handover; coordinate documents, resolutions and filing arrangements within the authorised scope.
- Documents needed
- Certificate, company number, memorandum and articles, director and member registers, recent maintenance and payment records; release or handover documents, KYC and authority materials where applicable.
- Fee components
- Inbound transfer service, government and third-party charges actually incurred, future registered-agent and annual-maintenance service, and any historic items or optional documents.
- Expected stages
- Acceptance and status review → written plan → authority and document review → filing by a qualified person → records handover and maintenance plan.
- Common special points
- Records held by the former agent, unpaid charges, annual fees or filings, missing documents and acceptance queries may need an agreed order of resolution.
Legal basis: section 92 of the BVI Business Companies Act. The notice uses the approved form, is filed by the current agent or a BVI legal practitioner acting for the company, and the incoming agent must consent to act.The latest requirements of the local registrar prevail.
02
Cayman company transfer
- Service scope
- Review registered-office and service-provider handover, company records, annual maintenance and any applicable filing interface; coordinate with qualified local providers.
- Documents needed

- Expected stages
- Company-status and acceptance review → scope and cost confirmation → board authority and document review → filing and query follow-up → handover confirmation.

- The registered office needs to connect to a suitable local service address. Near an annual-fee, filing or economic-substance deadline, first confirm who completes the current-period item.
Legal basis: section 11 of the Cayman Islands Companies Act (2025 Revision). A registered-office change is generally approved by board resolution, with a certified copy filed with the Registrar and the prescribed fee within 30 days after the resolution. The latest requirements of the local registrar prevail.

FAQ · 常见问题
Before you submit,
start with these answers.
01Can it proceed if the previous provider does not reply or cooperate?
Conclusion: do not assume it cannot proceed, but first check the available route in the jurisdiction. Check: current service agreement, written communications, outstanding fees, company status and records held by the prior provider; an alternative route in some places does not automatically remove existing contract obligations. Next step: share the basic information and handover position for an acceptance-condition review.
02Will changing the agent affect the company or bank account?
Conclusion: changing only the registered agent, secretary or registered office does not usually alter the legal entity, company number, shareholders or tax status. Check: whether addresses, contacts, directors or business details change at the same time, and what banks, payment institutions and counterparties require. Next step: list the institutions that need notice or confirmation in the plan.
03Can a company with unpaid fees, overdue matters or incomplete filings transfer?
Conclusion: it needs review; some matters must first be paid, filed or restored. Check: good-standing status, government annual fees, penalties, annual returns, economic substance, tax and beneficial-owner records, plus prior-provider handover conditions. Next step: list outstanding items first, then confirm the sequence and transferable date.
04How are fees handled if this year’s annual fee has already been paid?
Conclusion: payment alone does not determine a refund, credit or avoidance of duplicate charges. Check: the service period covered, government and service components, prior-provider agreement and local requirements. Next step: share the invoice or payment record so the current and next maintenance charges can be checked in writing.
05Can you check first if the documents are incomplete?
Conclusion: an initial review can begin, while formal acceptance and handling may need supplementary documents. Check: certificate, company number, constitutional documents, registers, maintenance receipts, authority documents and acceptance-review information. Next step: tell us the jurisdiction, documents available and next maintenance date for a basic supplementary list.
06After transfer, what does Offshore Isle handle and what must the client still do?
Conclusion: the written scope governs; Offshore Isle coordinates the agreed maintenance service and reminders. Check: the specific local-agent, secretary, address, filing and accounting-record updates, as well as when the client supplies business changes and signed materials. Next step: set out each party’s responsibility in the delivery list and maintenance plan.
