Economic substance: the compliance baseline for offshore companies

Since 2019, BVI, Cayman, and other key offshore jurisdictions have implemented economic substance rules. Offshore companies are no longer “set and forget”.

Amid global tax transparency, BVI, Cayman, Seychelles, Marshall Islands, and others introduced economic substance regimes requiring entities conducting specified “relevant activities” to have substance in the jurisdiction commensurate with those activities.

Activities in scope

  • Banking, insurance, fund management, finance and leasing
  • Headquarters business, shipping, distribution and service centre business
  • Pure equity holding (simplified requirements apply)
  • Intellectual property business (the strictest rules)

What companies must do

First determine whether the entity conducts relevant activities. If yes, meet local requirements on direction and management, people, premises, and expenditure, and file annually through the registered agent. Pure equity holding entities usually have lighter requirements but still must file.

Late or inadequate filings can trigger fines, exchange of information with the beneficial owner’s tax authority, and even striking-off.

Offshore Isle reviews substance filings alongside annual compliance so that substance becomes routine, not a year-end scramble.
