BVI Company Annual Renewal
Each year a BVI company pays its government annual fee, renews its registered agent and office, and completes its annual financial return, economic substance report and any beneficial-ownership and register updates on time. We build the calendar from the incorporation month and remind and file item by item; for companies left unmaintained, we check status first and then assess catch-up or restoration.
Annual fee, financial return, economic substance and beneficial ownership, each on time.
- Timeline
- Annual fee by 31 May or 30 November depending on the incorporation month; annual financial return within 9 months after year end; economic substance report generally within 6 months after the period ends.

Questions about BVI Company Annual Renewal
Within two months after the due date a 10% penalty applies, and 50% after that (USD 55 and USD 275 on a USD 550 fee); confirm the exact boundary with the registered agent. Persistent non-payment can lead to striking off, and under current law the company is dissolved the same day.
The old monthly penalty scale was repealed, but current rules list late annual financial returns for administrative penalties of up to USD 50,000; the agent must notify the Registry within 30 days after a missed deadline, and a missing return can also affect a certificate of good standing.
Usually yes. Even with no relevant activity a classification report is required, and companies with relevant activities must also meet the substance requirements. The BVI tax authority issued 2026 notices extending filings and suspending penalties for system issues; confirm with the agent or the authority whether a given period is covered.
It depends. A struck-off company is dissolved the same day; Registry or court restoration is generally sought within 5 years of dissolution, with records, a registered agent and arrears in place. Restoration is more than paying the fee, so we review the cause and documents before proposing a plan.
