Cayman Company Annual Renewal
Each year a Cayman exempted company files its annual return and pays the government fee, completes its economic substance notification before the return, and keeps beneficial-ownership information through its registered-office provider; entities with relevant activities also file an economic substance return. We prepare ahead of the deadlines, file on your behalf and keep the confirmations.

Questions about Cayman Company Annual Renewal
Late filing adds 33.33% in April–June, 66.67% in July–September and 100% in October–December. Persistent failure risks striking off, which dissolves the company; restoration usually requires a court application, subject to time limits and fees.
The ESN is the yearly notice, before the annual return, stating whether the company carries on relevant activities, and almost every company files it. The economic substance return applies only to relevant entities with relevant activities that must meet the test, within 12 months after year end; late filing costs CI$5,000 plus CI$500 a day. That return penalty does not automatically apply to a late ESN.
For an ordinary, unregulated exempted company the law sets no general annual audit deadline; it depends on the articles, contracts and regulatory status. Accounting records sufficient to explain transactions and the financial position must be kept for at least 5 years. Regulated funds have their own audit requirements.
Administrative penalties start at CI$5,000, plus CI$1,000 a month for continuing breaches, up to CI$25,000. Anyone holding 25% or more of shares or voting rights, or otherwise exercising ultimate effective control, may be a beneficial owner.
