U.S. Company Tax Filing
Federal filings for a U.S. company depend on its tax classification, its owners’ status and its transactions. We first confirm whether the company is a foreign-owned single-member LLC, a multi-member LLC or a C corporation, then prepare Form 5472 with a pro forma Form 1120, Form 1120 or Form 1065, and flag information returns such as 1099 and 1042-S and state annual report dates. This summarises official rules; individual cases follow a U.S. tax professional’s advice.
The right forms for the tax classification: 5472, 1120, 1065 and information returns.
- Timeline
- Form 5472 with pro forma Form 1120 and Form 1120 (calendar year) are usually due 15 April; Form 1065 usually 15 March; a timely Form 7004 gives six more months. Weekends, holidays or special relief can move the actual date.

What we do.
01
Form 5472 with pro forma Form 1120
For disregarded entities wholly owned by a foreign person with reportable related-party transactions (including contributions and distributions); cannot be e-filed and goes to the IRS fax or mail channel.
02
Form 1120
A C corporation’s annual federal return, taxed at 21% of taxable income; with 25% or more foreign ownership and reportable transactions, Form 5472 is attached.
03
Form 1065 and K-1s
Multi-member LLCs file as partnerships by default and issue a K-1 to each partner; Forms 8804 / 8805 are assessed for foreign partners.
04
Extensions
A timely Form 7004 extends Forms 5472 / 1120 to 15 October (calendar year).
05
Information returns
Form 1099 or Forms 1042 / 1042-S depending on the payee; the common 2026 threshold for nonemployee compensation on Form 1099 is USD 2,000.

Questions about U.S. Company Tax Filing
Yes, if it has reportable related-party transactions, including owner contributions, distributions to the owner and payments on formation or dissolution; no business income does not mean no filing. One Form 5472 is filed per related party with reportable transactions, attached to a pro forma Form 1120.
The initial penalty is generally USD 25,000 per related party per tax year, plus USD 25,000 for each further 30 days if not corrected more than 90 days after IRS notice. If past years were missed, assess a catch-up plan first.
U.S.-source dividends paid to foreign shareholders usually carry 30% statutory withholding; qualifying residents of mainland China can claim 10% under the U.S.–China treaty, subject to residence, beneficial-owner and documentation conditions. The treaty does not apply to Hong Kong.
The BOI exemption is not an FBAR exemption. A U.S. LLC with reportable foreign accounts whose combined balance exceeds USD 10,000 at any time in the year may need to file an FBAR.
